Terms of Service and Acceptable Use

Welcome to LNVPS, a trading name of Apex Strata Ltd, a company registered in Ireland. These Terms of Service ("Terms") govern your use of our Virtual Private Server (VPS) hosting services, website, and related offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Definitions

  • "You" or "Customer": The individual or entity subscribing to or using the Services.
  • "We", "Us", or "LNVPS": Apex Strata Ltd, operating as LNVPS.
  • "Services": VPS hosting, support, and any additional features provided by LNVPS.

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By signing up, you confirm that all information provided is accurate and that you are authorized to act on behalf of any entity you represent.

4. Services

LNVPS provides VPS hosting services, including server resources, bandwidth, and technical support, as outlined on our website (lnvps.net or applicable domain). Specific features, pricing, and resource limits are detailed in your chosen service plan at the time of purchase.

  • Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted service. Downtime may occur due to maintenance, upgrades, or unforeseen events. Unless expressly agreed otherwise in writing, no service credits or compensation are payable for downtime.
  • Modifications: We reserve the right to modify or discontinue any aspect of the Services with reasonable notice.

5. Account Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Usage: You agree to use the Services only for lawful purposes and in compliance with these Terms.
  • Notification: You must notify us immediately of any unauthorized use of your account.

6. Acceptable Use Policy

You agree not to use the Services to:

  • Host, store, or distribute illegal content, including but not limited to pirated software, child exploitation material, or content inciting violence or hate.
  • Engage in spamming, phishing, or other abusive activities, including operating open mail relays or sending unsolicited bulk email.
  • Overload or disrupt our servers, networks, or other customers’ services (e.g., DDoS attacks).
  • Operate botnets, command-and-control infrastructure, or launch attacks, port scans, or unauthorized penetration tests against third parties.
  • Engage in cryptocurrency mining or other sustained workloads that abuse shared resources beyond the fair use of your plan.
  • Engage in activity that damages the reputation of our IP address space (e.g., causing IPs to be blacklisted).
  • Violate intellectual property rights or privacy laws.

Tor: Running Tor relays (non-exit) is permitted. Running Tor exit nodes is not permitted without our prior written consent.

We reserve the right to suspend or terminate your Services without notice if we detect violations, subject to applicable law. Abuse reports may be sent to noc+abuse@apexstrata.ie.

7. Payment and Billing

  • Fees: You agree to pay the fees for your chosen plan as outlined at checkout. Prices may be displayed and paid in Euro (€), US Dollar ($), or Bitcoin (BTC, via the Lightning Network or on-chain), as offered at checkout.
  • Exchange Rates: Where you pay in Bitcoin for a plan priced in fiat currency (or vice versa), the amount payable is calculated at the exchange rate applied at the time the invoice is generated. Once an invoice is paid, it is final; we do not adjust for subsequent exchange rate movements.
  • Billing Cycle: The Services are prepaid. Payment is due in advance for each billing period of your chosen plan, and your service runs until the end of the period you have paid for.
  • Non-Payment: If your service is not renewed by its expiry date, it will be stopped and you will no longer be able to access it. It may subsequently be deleted in accordance with Section 8.
  • Refunds: Refunds are available within 14 days of initial purchase, provided no excessive usage has occurred, as determined by us. Refunds of amounts paid in Bitcoin are made in Bitcoin at the originally invoiced amount.

This section is without prejudice to your statutory rights as a consumer (see Section 7.2).

7.1 Taxes (VAT)

As Apex Strata Ltd is established in Ireland (an EU member state), Value Added Tax (VAT) is applied to your purchases as required by EU law:

  • Applicable VAT: Any VAT due is calculated and added at checkout, and the applied rate is shown on your invoice. Prices displayed may be exclusive of VAT; the total payable, including any VAT, is confirmed before you pay.
  • Determining Your Location: VAT treatment depends on your place of supply. We determine this from the country you declare in your account and/or checkout and, where necessary, from location evidence such as your IP address (resolved to a country). You agree to provide accurate location information and confirm that any country you declare is correct.
  • Business Customers (Reverse Charge): If you are a VAT-registered business in an EU member state other than Ireland, you may provide a valid VAT identification number. Where the number is validated, the intra-EU business-to-business reverse charge applies (Article 196 of Council Directive 2006/112/EC), no VAT is charged by us, and you are responsible for accounting for VAT in your own member state. You are responsible for the accuracy and validity of any VAT number you provide.
  • Irish and EU Consumers: Customers in Ireland are charged Irish VAT. Consumers in other EU member states are charged VAT at the applicable rate for their location.
  • Non-EU Customers: Supplies to customers established outside the EU are generally outside the scope of EU VAT and no EU VAT is charged. You remain responsible for any taxes, duties, or charges that may apply in your own jurisdiction (e.g. local sales, use, or import taxes), which are not collected or remitted by us.
  • Not Tax Advice: The above is a general summary of how we apply VAT and does not constitute tax advice. You are responsible for your own tax obligations and should seek independent advice where needed.

7.2 EU Consumer Right of Withdrawal

If you are a consumer in the European Union, you have a statutory right to withdraw from a contract for services within 14 days without giving any reason. By ordering the Services, you request that we begin providing them immediately (your VPS is provisioned upon payment). You acknowledge that:

  • If you withdraw within the 14-day period after performance has begun, you must pay for the proportion of the Services provided up to the time you inform us of your withdrawal.
  • If the Services have been fully performed within the withdrawal period (e.g. a billing period that has fully elapsed), you lose the right of withdrawal once performance is complete, having consented to immediate performance.

To exercise the right of withdrawal, contact us at sales@lnvps.net with a clear statement of your decision to withdraw.

8. Termination

  • By You: You may terminate your account at any time via your control panel or by contacting us, subject to the billing cycle terms.
  • By Us: We may suspend or terminate your Services for non-payment, violation of these Terms, or if required by law, with or without notice depending on the severity of the breach.
  • Effect of Termination: Upon termination or expiry of your service, your VPS is stopped and your access to it ends. We may permanently delete your VPS and associated data after 7 days unless otherwise required by law. You are responsible for retrieving your data before your service expires or is terminated; renewing an expired service within the retention period restores access.

9. Data and Privacy

  • Your Data: You retain ownership of data uploaded to your VPS. We do not access it except as needed to provide the Services or comply with legal obligations.
  • Backups: You are responsible for maintaining backups of your data unless a backup service is included in your plan.
  • GDPR Compliance: We process personal data in accordance with the General Data Protection Regulation (GDPR). We collect only the minimal information necessary to provide the Services; accounts may be created without providing personal contact details. For data protection queries, contact sales@lnvps.net.

10. Limitation of Liability

To the fullest extent permitted by Irish law:

  • Our liability for any claim arising from the Services is limited to the amount you paid us in the previous 12 months.
  • We are not liable for indirect, consequential, or incidental damages (e.g., loss of profits, data, or business opportunities).
  • We are not responsible for issues beyond our reasonable control, such as force majeure events (e.g., natural disasters, cyber-attacks).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or fraud.

11. Indemnification

You agree to indemnify and hold harmless Apex Strata Ltd, its officers, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law. This section does not apply to the extent prohibited by applicable consumer protection law.

12. Intellectual Property

  • Our IP: The LNVPS website, branding, and software remain our property or that of our licensors.
  • Your IP: You grant us a limited license to use your content solely to provide the Services.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Ireland.
  • For business customers, any disputes will be subject to the exclusive jurisdiction of the courts of Ireland.
  • If you are a consumer, this does not affect any mandatory consumer protections or jurisdiction rights you have under the law of your country of residence, and you may bring proceedings in the courts of that country where permitted by law.

14. General

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Entire Agreement: These Terms, together with your chosen service plan, constitute the entire agreement between you and us regarding the Services.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor of the business.
  • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email where we hold an email address for you, or otherwise via our website or your account dashboard. Continued use of the Services after changes constitutes acceptance of the updated Terms.
